RCCEB Code of Conduct

Introduction

The Robert College Entrepreneurs Bond (“RCCEB”) is a non-stock corporation incorporated under the laws of the State of Delaware, USA, operating within the Robert College (“RC”) alumni ecosystem. RCCEB is intended to foster connections, knowledge sharing and collaboration among RC Alumni and RC Friends. The community serves entrepreneurs, aspiring entrepreneurs, investors and professionals who demonstrate a committed affiliation with the RC ecosystem.

RCCEB aims to create a supportive ecosystem where entrepreneurs, investors, professionals and members of the RC network may exchange ideas, collaborate on initiatives and contribute to the broader entrepreneurial environment connected to RC. While RCCEB is connected to the RC alumni ecosystem, it is not owned, operated or controlled by RC. RC does not sponsor, endorse or assume any responsibility or liability for RCCEB activities, events or communications. Members shall not imply any official affiliation, endorsement or partnership with RC without prior authorization.

RCCEB operates within a framework of trust, mutual respect and shared responsibility. As such, it is essential that all participants adhere to clear standards of conduct that promote ethical behavior, professional integrity and responsible engagement within the community.

This Code of Conduct (“CoC”) establishes the principles, expectations and responsibilities that govern participation in RCCEB activities, events, platforms and communications.

The purpose of this CoC is to:

  • promote a respectful and constructive community environment
  • safeguard the integrity and reputation of RCCEB and the RC ecosystem
  • ensure transparency and fairness in community interactions
  • protect confidential information shared within the community
  • address potential conflicts of interest
  • establish mechanisms for responsible governance and enforcement

Community Acknowledgment

By participating in RCCEB activities, members acknowledge that they are part of a community built upon trust, professionalism and ethical conduct.

Scope of Application

This CoC applies to all individuals who participate in or engage with RCCEB, including but not limited to:

  • Members of the RCCEB Founders Council
  • Members of the RCCEB Validators Circle
  • RCCEB community members
  • Participants in RCCEB events or programs
  • Speakers, mentors, advisors or collaborators engaged with RCCEB
  • Individuals participating in RCCEB communication platforms or digital spaces
  • Any individual representing or acting on behalf of RCCEB

Membership Approval

Participation in RCCEB is conditioned upon adherence to this CoC. Individuals who fail to comply with the principles and requirements described herein may be subject to corrective measures, including suspension or removal from the RCCEB community.

Membership in RCCEB is subject to approval by the Founders Council in accordance with the RCCEB Charter.

Core Principles of the RCCEB

Members of RCCEB are expected to uphold the following core principles:

  • Integrity: Members shall conduct themselves with honesty, transparency and ethical responsibility in all interactions related to RCCEB.
  • Respect: Members shall respect the diversity of perspectives, backgrounds and professional experiences represented within the RCCEB community.
  • Constructive Collaboration: Members are encouraged to engage in collaborative dialogue, share insights responsibly and contribute positively to the collective growth of the community.
  • Responsible Entrepreneurship: Members are expected to promote responsible and ethical entrepreneurship practices that reflect positively on the broader RC community.
  • Community Trust: Members shall act in ways that preserve the trust and integrity of the RCCEB network and protect the reputation of both RCCEB and RC.

Professional and Respectful Conduct

All members of RCCEB shall interact with others in a professional, respectful and constructive manner.

The following behaviors are inconsistent with the values of RCCEB and are strictly prohibited:

  • harassment or intimidation of any participant
  • discrimination based on race, gender, nationality, religion, sexual orientation, disability or other protected characteristics
  • abusive language or behavior
  • threats, coercion or aggressive conduct
  • deliberate disruption of RCCEB events or activities
  • conduct that may damage the reputation or functioning of the RCCEB community

Professional Discussion Standards

Members shall engage in discussions and collaborations in a manner that reflects professionalism and mutual respect.

Responsible Use of the Community

RCCEB exists to facilitate meaningful professional connections and collaboration among members of the RC entrepreneurial ecosystem.

Members are expected to use RCCEB platforms responsibly and in a manner consistent with the community’s purpose.

Members shall not:

  • exploit RCCEB membership for improper commercial solicitation
  • harvest or misuse member contact information
  • distribute unsolicited marketing communications to community members
  • promote fraudulent or deceptive business schemes
  • misuse RCCEB communication channels for unrelated promotional activities

No Endorsement

While networking, collaboration and entrepreneurial discussions are strongly encouraged, members shall ensure their engagement with the community remains respectful, transparent and aligned with RCCEB's purpose.

Participation in RCCEB does not constitute endorsement of any business venture, investment opportunity or professional service. RCCEB serves as a networking and collaboration platform. Any business, investment or professional relationships formed between participants are undertaken solely at the discretion and responsibility of the individuals involved. RCCEB does not verify, endorse or guarantee any business opportunity, investment proposal or professional service shared within the community.

RCCEB shall not be liable for any loss, damage, dispute or other consequences arising from interactions, collaborations or business relationships formed between community participants.

Conflicts of Interest

Members shall act in the best interests of the RCCEB community and avoid situations in which personal or financial interests may conflict with the community's interests.

A potential conflict of interest may arise, for example, where a member:

  • has a financial interest in a business or venture discussed within RCCEB
  • promotes services or opportunities from which they may derive financial benefit
  • participates in decisions affecting organizations with which they are affiliated
  • seeks to use RCCEB influence for personal advantage

Conflict Disclosure

Members are expected to disclose potential conflicts of interest when relevant to community activities. No RCCEB communications shall be construed as investment advice. Members may have an interest in promoting certain start-ups but RCCEB makes no representations as to the motives of its members.

Where appropriate, individuals with conflicts of interest should refrain from participating in discussions or decisions where their impartiality could reasonably be questioned.

Transparency and responsible disclosure are essential to maintaining trust within the RCCEB community.

Confidentiality and Intellectual Property

Members of RCCEB may be exposed to confidential or sensitive information during community interaction, including but not limited to business ideas, start-up concepts, investment discussions, strategic and operational information and personal and professional information shared by the other members.

Members shall respect the confidentiality of such information and the intellectual property rights of others. Confidential or proprietary information shall not be disclosed, reproduced or distributed outside the RCCEB community without the explicit consent of the individual or entity that shared such information.

Members are expected to exercise appropriate discretion when sharing sensitive information within the community and should be aware that information shared within RCCEB platforms may be accessible to other participants.

Any intellectual property, business ideas or materials shared within RCCEB shall remain the property of their respective creators. RCCEB does not claim ownership of any intellectual property created, shared or discussed within the community.

Any disputes, misuse or infringement of intellectual property shall be handled directly between the members involved. Members agree to indemnify and hold RCCEB harmless from any claims arising out of such disputes.

Confidentiality and intellectual property obligations continue to apply even after a member ceases participation.

Representation of RCCEB

Members shall not represent themselves as speaking on behalf of RCCEB unless expressly authorized by the RCCEB Founders Council.

Members shall not:

  • claim official endorsement by RCCEB for personal ventures
  • represent RCCEB in public communications without authorization
  • use the RCCEB name, logo or identity for commercial purposes without approval

Authorized Representatives

The RCCEB Founders Council may designate individuals to represent RCCEB in specific contexts or events.

Community Governance and Enforcement

The RCCEB Founders Council is responsible for overseeing the implementation and interpretation of this CoC.

In cases where a violation of this CoC is suspected, the Founders Council may review the matter and determine appropriate corrective action.

Possible corrective actions may include:

  • informal guidance or warning
  • temporary suspension of participation privileges
  • removal from specific RCCEB activities
  • removal from the RCCEB community

Enforcement Decisions

Decisions regarding enforcement will be made with consideration for fairness, proportionality and the overall integrity of the community.

Reporting Concerns

Members who become aware of conduct that may violate this CoC are encouraged to report their concerns to the RCCEB Founders Council.

Reports may include concerns related to:

  • harassment or discrimination
  • unethical behaviour
  • misuse of community resources
  • conflicts of interest
  • breaches of confidentiality

Review of Reports

The Founders Council shall review such concerns in good faith and seek to address them responsibly.

Amendments

RCCEB may update this CoC from time to time in order to reflect the evolving needs of the community.

Updated versions may be communicated to community members or published through RCCEB communication platforms.

Governing Law

This Code of Conduct shall be governed by and construed in accordance with the laws of the State of Delaware.

Electronic Signatures

By engaging with RCCEB or signing this document, members and participants agree that this CoC may be executed and delivered by electronic signatures. Such electronic signatures shall be deemed equivalent to handwritten signatures for the purposes of validity, enforceability and admissibility.

Acknowledgement and Agreement

Participation in RCCEB signifies acknowledgment of and agreement to comply with the principles and obligations described in this CoC.

Members are expected to review this document carefully and adhere to its provisions in their participation within the RCCEB community.

I hereby acknowledge that:

  • I have received and read the RCCEB CoC.
  • I understand the expectations and responsibilities described in this document.
  • I agree to comply with the principles and requirements of the CoC.
  • I understand that failure to comply with this CoC may result in corrective measures, including suspension or removal from the RCCEB community.

RC Community Entrepreneurs Bond is an independent entity founded by Robert College alumni and is not an official affiliate of the school.
